By-Laws and Constitution  
 

ARTICLE I - NAME

The name of this organization shall be: MOTHERLODE ROCKCRAWLERS FOUR-WHEEL DRIVE CLUB.

ARTICLE II - PURPOSES AND AIMS

1.      This organization shall be non-profit in character, bringing together and promoting the interest of family four- wheeling as well as responsibly enjoying our country's natural resources.

2.      The organization shall promote and educate environmentally kind land use practices.

ARTICLE III - MEMBERSHIP AND DUES

1.      Membership is open to owners of 4 wheel drive vehicles, by invitation, who have participated in at least 3 club functions and attended 2 club meetings within a period of 6 months.

2.      Prospective full members must drive their own vehicle off road on two club runs.

3.      Definition of a potential member:  To be a potential member you must have filled out an application and returned it to the club Membership Chair prior to being credited with required pre-member runs or meetings.

4.      Dues for this organization shall be $40.00, the first year, and $35.00 per year per family after initiation. All first time members should pay their dues at the time they are voted in.

5.      Of the dues collected, $20.00 shall be for membership to the organization, $10.00 shall be for the organization membership to the “United Four Wheel Drive Associations” and approximately $5.00 of dues shall be for the organization membership to the “Blueribbon Coalition.”  The remaining amount of the dues will be placed in the general fund and will be for the discretionary use of the club as voted on by club membership.

6.      There will be one vote per member.

7.      The minimum age for members is 18 years. Each member must hold a valid drivers license and have proof of adequate insurance coverage, which will be checked at random by officers of the club.

8.      The following is a list of safety requirements that shall be maintained on board all club members vehicles during all club runs:

a.       First Aid Kit

b.      Fire Extinguisher

c.       Tow Strap or Chain

d.      Roll Bar and/or Hard Top

e.       Spare Tire and Jack

f.        Working Emergency Brake or Micro-lock

g.       Seat Belt for all passengers

h.       Tow Hooks front and rear of said vehicle. The hooks must be mounted on a portion of the frame or adequate cross member.

9.      To remain in good standing, a club member must pay his/her dues within 30 days of due date, and attend 6 club functions. A club function is a meeting or scheduled event. Members must also attend 1 adopt-a-trail project per year. Any exceptions to these requirements must be submitted in writing to the Board of Directors and presented to the membership for action.

10.  All members, before selling a vehicle, must remove all club decals or emblems from their vehicle. Members who sell their vehicle may maintain regular membership for no more than 12 months.

11.  All members must conduct themselves in a responsible and orderly fashion, whether in or out of club activities. Any member disgracing himself or herself or the club in the public eye will be immediately subject to review by the Board of Directors for possible expulsion or suspension from the club. The Board of Directors decision will be final.

12.  All club members must have club decals on display during club runs and outings.

13.  Only club members can invite guests that are going to be driving another vehicle.

14.  Failure to comply with the club by-laws will result in a fine. The Board of Directors will set this fine.

 

ARTICLE IV - OFFICERS AND DUTIES

1. The officers of this club shall be the President, Vice President, Secretary, Treasurer and Membership Chair.

a.       The President shall be the executive officer and will ensure all meetings and events are conducted in a timely and professional fashion.  Further, the President will either preside over, or delegate someone to preside over all meetings and events.  He/She shall have the duty of carrying out the policies and decisions of the members. The President shall appoint committees as needed.

b.      The Vice-President shall assist the President and act on his/her behalf in case of absence.

c.       The Secretary shall record all minutes of the meetings, maintain the club records and write any correspondence as directed.

d.      The Treasurer shall receive all monies, be responsible for the bank deposits, disburse funds as authorized, and have books open for inspection by authorized auditors or club officers.

e.       The Membership Chair shall have the duty to review new club applicants and present them to the membership. He/She shall keep a log of all visitors at meetings and on club runs. The Membership Chair shall also be responsible for the distribution of all membership materials.

 

ARTICLE V - BOARD OF DIRECTORS

1.      The management of the club shall be vested in the President, Vice President, Secretary, Treasurer and Membership Chair and the immediate past President, which constitute the Board of Directors.

2.      The Board of Directors shall be made up of the elected officers as elected by the membership.

ARTICLE VI - ELECTIONS AND VOTING

1.      Elections of officers shall be held at the regular January meeting each year. Nominations will be accepted from the floor.

2.      In the event of a vacancy in any office except President, the Board of Directors shall appoint a member in good standing to fill the unexpired term until the next general election.

3.      A two-thirds majority of member’s votes will be the rule for all matters provided at least 10 members are present.

ARTICLE VII - AMENDMENTS TO BY-LAWS

These by-laws may be amended at the regular February meeting by a two-thirds majority vote, provided at least 10 members are present and the amendment has been presented at a previous meeting. The membership shall be notified of the proposed change(s) via club website and/or e-mail at least two weeks prior to taking the vote.

               

ARTICLE VIII - MEETINGS

Membership meetings shall be held once a month on the first Thursday of the month at 7:30PM. Special meetings may be called ˝ hour prior to the regular meeting for any designated purpose. Board meetings will be at the call of the President.

 

ARTICLE IX - ABSENTEE MEMBERSHIP

By nomination of the Board of Directors and by the majority vote of the membership, any suitable person may be elected to Absentee Membership by meeting the following requirements;

a.       Must be sponsored by a club member in good standing. Own a four- wheel drive vehicle.

b.      Be a legally licensed driver of the state.

c.       Have attended an introductory meeting.

d.      Have been in attendance at two club functions.

Absentee membership will be converted to regular membership if the absentee member has completed the regular membership requirements within 12 months of becoming an absentee member.
